Terms of Service

1. Acceptance of Terms

By creating an account or using the CredentialClear platform ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

CredentialClear provides a software platform that allows organizations to:

  • Search publicly available state contractor licensing registries
  • Cross-reference contractor names against public violation records sourced from government agencies
  • Access Google review data for contractor businesses
  • Manage contractor rosters, notes, ratings, and license monitoring

The Service is intended for business due diligence purposes only — including vendor onboarding, compliance verification, and contractor relationship management.

3. Permitted Use — FCRA and Consumer Reporting Limitation

THE SERVICE IS NOT A CONSUMER REPORTING AGENCY AND THE INFORMATION PROVIDED DOES NOT CONSTITUTE A CONSUMER REPORT AS DEFINED BY THE FAIR CREDIT REPORTING ACT (FCRA), 15 U.S.C. § 1681 ET SEQ.

You agree that you will not use the Service, or any information obtained through the Service, for:

  • Evaluating a consumer's eligibility for employment, promotion, reassignment, or retention
  • Evaluating a consumer's eligibility for credit or insurance
  • Tenant screening or housing decisions
  • Any other purpose governed by the FCRA or equivalent state consumer reporting laws

You agree to indemnify CredentialClear for any claims arising from your use of the Service in violation of the FCRA or similar laws.

4. Accounts and Organizations

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorized access at support@credentialclear.com
  • One organization account may have multiple users as permitted by your subscription plan

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Use license or credential data to harass, discriminate against, or harm any individual
  • Use the Service for employment screening, tenant screening, or any purpose governed by the FCRA
  • Attempt to reverse engineer, scrape, or extract data from the Service in bulk
  • Share your account credentials with unauthorized users outside your organization
  • Use the Service to build a competing product or service
  • Attempt to circumvent subscription limits or access controls
  • Submit false, misleading, or fraudulent information
  • Resell, sublicense, or otherwise transfer access to the Service to third parties

6. Subscription Plans and Trials

  • The Service is offered on a subscription basis with multiple plan tiers as described on the Pricing page
  • New accounts receive a 15-day free trial with full access to the features of their selected plan
  • After the trial period, continued use requires a paid subscription
  • We will provide at least 30 days' written notice before implementing any pricing changes
  • Subscriptions are billed in advance on a monthly or annual basis as selected at signup

Refund Policy

  • Monthly subscriptions: No refunds for partial months. You may cancel at any time and retain access through the end of the paid period.
  • Annual subscriptions: Prorated refunds are available for the unused portion of your term if you cancel within the first 30 days. No refunds after 30 days.
  • Free trial: No charges apply during the trial period. You will not be billed until you actively select a paid plan.

7. Data Accuracy and Disclaimer

THE LICENSE STATUS, EXPIRATION DATES, VIOLATION RECORDS, AND ALL OTHER CREDENTIAL INFORMATION PROVIDED THROUGH THE SERVICE ARE SOURCED FROM PUBLICLY AVAILABLE THIRD-PARTY DATABASES AND GOVERNMENT REGISTRIES AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

CredentialClear does not warrant that any information retrieved from state licensing boards, violation lists, or Google is accurate, current, or complete. State databases may contain errors, delays, or omissions beyond our control.

YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY CREDENTIAL INFORMATION BEFORE MAKING HIRING, COMPLIANCE, OR BUSINESS DECISIONS. CredentialClear is not liable for any decision made in reliance on information provided through the Service.

8. Intellectual Property

  • The Service is owned by CredentialClear and protected by applicable intellectual property laws
  • You retain ownership of contractor roster data, notes, and ratings you create within the Service
  • You grant CredentialClear a limited, non-exclusive license to store and process your data solely to provide the Service
  • Public data retrieved from state databases and Google is not owned by CredentialClear
  • You may not copy, modify, distribute, or create derivative works of the Service without our written consent

9. Indemnification

By Customer: You agree to defend, indemnify, and hold harmless CredentialClear and its officers, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law, including the FCRA; (c) your misuse of information obtained through the Service; or (d) any third-party claim arising from data you upload or enter into the Service.

By CredentialClear: CredentialClear will defend, indemnify, and hold harmless you from any third-party claim alleging that the Service itself (excluding third-party data) infringes a valid patent, copyright, or trademark, provided you promptly notify us of the claim and cooperate in the defense.

10. Termination

  • You may cancel your account at any time by contacting support@credentialclear.com
  • We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees after 10 days' written notice
  • Upon termination, your access to the Service will cease. Your data will be retained for 30 days, after which it may be permanently deleted
  • Sections 3, 7, 9, 11, 12, 13, and 14 survive termination

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREDENTIALCLEAR AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

The liability cap does not apply to: (a) CredentialClear's indemnification obligations under Section 9; (b) claims arising from CredentialClear's gross negligence or willful misconduct; or (c) liability that cannot be limited under applicable law.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Dispute Resolution and Arbitration

Informal Resolution: Before initiating formal proceedings, you agree to contact us at josh@credentialclear.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Boston, Massachusetts. The arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: YOU AND CREDENTIALCLEAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including for intellectual property infringement.

14. Force Majeure

CredentialClear shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, internet or telecommunications failures, third-party service outages (including state database downtime or Google API unavailability), or cyberattacks. In such events, our obligations will be suspended for the duration of the force majeure event.

15. Data Processing Agreement

For customers subject to GDPR or other data protection laws that require a data processing agreement (DPA), CredentialClear will enter into a DPA upon request. To request a DPA, contact support@credentialclear.com.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Subject to the arbitration agreement in Section 13, any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts.

17. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' written notice via email or prominent in-Service notification, and will require your affirmative acknowledgment before the changes take effect. For non-material changes, continued use of the Service constitutes acceptance.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and CredentialClear regarding the Service
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
  • Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Export Compliance: You represent that you are not located in a country subject to US government embargo and will comply with all applicable US export control laws
